End User License Agreement

Effective Date: March 19, 2026 | ThomDigital Internal Tools

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and ThomDigital (“Company”) governing your use of ThomDigital’s internal business management tools and integrations, including connections to QuickBooks Online (“Software”).

1. Grant of License

ThomDigital grants you a limited, non-exclusive, non-transferable license to use the Software solely for internal business purposes. This Software is not licensed for distribution to third parties.

2. Restrictions

You may not: (a) copy, modify, or distribute the Software; (b) reverse engineer or attempt to extract the source code; (c) use the Software for any unlawful purpose; or (d) transfer your rights under this Agreement to any third party.

3. Ownership

The Software and all intellectual property rights therein are and shall remain the exclusive property of ThomDigital. This Agreement does not convey to you any rights of ownership in the Software.

4. Data Access

The Software accesses QuickBooks Online data solely for internal reporting and analytics purposes. All data accessed remains the property of ThomDigital and is not shared with any third parties.

5. Disclaimer of Warranties

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

In no event shall ThomDigital be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the use of the Software.

7. Termination

This Agreement is effective until terminated. ThomDigital may terminate this Agreement immediately upon notice if you breach any provision herein.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which ThomDigital operates, without regard to conflict of law principles.
